By accessing or using the BusyTimes platform ("Service") operated by 1001368444 Ontario Inc. ("BusyTimes," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service, including:
BusyTimes is a software-as-a-service (SaaS) online booking and appointment scheduling platform. The Service enables Companies to:
BusyTimes is a platform provider only. We are not a party to the service transactions between Companies and their Clients. The Company is solely responsible for the services they provide to their Clients.
To register a Company account on BusyTimes, you must:
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. BusyTimes is not liable for any loss or damage arising from your failure to maintain account security.
You agree to provide accurate, current, and complete information during registration and to keep your account information updated. We reserve the right to suspend or terminate accounts that use false or misleading information.
You agree not to use the Service to:
Access to certain features of BusyTimes requires a paid subscription. Subscription fees are described on our pricing page and are charged in advance on a monthly or annual basis. All fees are in Canadian dollars unless otherwise stated.
Companies may use BusyTimes to collect deposits from Clients through our Stripe Connect integration. By enabling payments:
Subscription fees paid to BusyTimes are non-refundable except as required by applicable law. Deposits collected from Clients are governed by the Company's own refund policy — BusyTimes is not responsible for refunding Client payments.
We reserve the right to change subscription pricing with at least 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
When a Client books an appointment through a Company's BusyTimes booking page:
The Service and its original content, features, and functionality are and will remain the exclusive property of 1001368444 Ontario Inc.. Our trademarks may not be used in connection with any product or service without prior written consent.
You retain ownership of content you upload to the Service (logos, descriptions, images). By uploading content, you grant BusyTimes a non-exclusive, worldwide, royalty-free license to host, store, process, and display that content solely for the purpose of providing the Service to you.
If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without restriction or compensation.
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
The Service integrates with third-party platforms including Stripe, Google Calendar, Microsoft (Outlook) Calendar, email and SMS providers, and others. Your use of these integrations is subject to the respective third-party's terms of service and privacy policies. BusyTimes is not responsible for the availability, accuracy, or content of third-party services.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
BUSYTIMES DOES NOT WARRANT THAT:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUSYTIMES, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
Our total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of: (a) the amounts you paid to BusyTimes in the 12 months preceding the claim, or (b) CAD $100.
You agree to defend, indemnify, and hold harmless BusyTimes and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) content you upload or submit; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) any disputes between you and your Clients.
These Terms are effective from the date you first access the Service and continue until terminated.
You may terminate your account at any time by contacting us. Upon termination, your right to use the Service immediately ceases.
We may suspend or terminate your account immediately, without prior notice, if:
Upon termination, you will lose access to your account and all associated data. We may retain data as required by law or our data retention policies. Provisions that by their nature should survive termination will survive (including Sections 10, 11, 12, and 15).
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes by email or by posting a notice on the platform. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiations for at least 30 days after written notice of the dispute.
BusyTimes offers an E-Signatures feature that lets Companies send documents to be signed electronically, and lets recipients ("Signers") sign them. This Section applies to any use of that feature.
BusyTimes provides the technical means to capture signatures, records an audit trail (including signer name, email, IP address, and timestamps), generates a completed PDF with a certificate of completion, and offers a verification code, cryptographic fingerprint, and public verification page to help confirm a completed document has not been altered.
BusyTimes is a technology provider, not a law firm, and does not provide legal advice. BusyTimes does not warrant or guarantee that any document signed through the Service is legally binding, enforceable, admissible, or compliant with any particular law. The audit trail and verification tools are provided as-is to assist with record-keeping; the legal effect of any signed document is determined solely between the Company and the Signer and by applicable law. BusyTimes is not a party to, and is not responsible for, any agreement executed through the feature.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and BusyTimes regarding the Service and supersede all prior agreements.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
